MOAI — TERMS OF SERVICE Effective date: October 22, 2026 (replaces the version dated September 12, 2026) These Terms of Service (these "Terms") are a binding agreement between you and Moai Social Inc, a Delaware corporation ("Moai," "we," "us," or "our"), and govern your access to and use of the Moai mobile application, the website at moaisocial.com, and all related services, features, and content (together, the "Services"). PLEASE READ THESE TERMS CAREFULLY. THEY CONTAIN: A BINDING ARBITRATION PROVISION AND CLASS ACTION WAIVER (SECTION 18) THAT AFFECT YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO OPT OUT OF ARBITRATION WITHIN 30 DAYS; AN ASSUMPTION-OF-RISK PROVISION REGARDING IN-PERSON MEETINGS AND EVENTS (SECTION 6); AND DISCLAIMERS OF WARRANTIES AND LIMITATIONS OF OUR LIABILITY (SECTIONS 15 AND 16). By creating an account, ticking the acceptance box at signup, or accessing or using the Services, you agree to these Terms and to our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree, do not use the Services. Contact: Moai Social Inc, c/o Corporation Service Company, 251 Little Falls Drive, Wilmington, New Castle County, Delaware 19808 · areihill@moaisocial.com

  1. Who May Use Moai To use the Services, you must: (a) be at least 17 years old; (b) reside in the United States; (c) not be prohibited from using the Services under applicable law; (d) not have been previously suspended or removed from the Services; and (e) not be required to register as a sex offender with any government entity, and not have been convicted of a violent felony or any crime involving violence against, or exploitation or endangerment of, another person. Student accounts provide a date of birth at signup, which we use to enforce the age requirement; any individual who creates or operates an account of any type represents that they meet it. If we learn that a user is under 17, we will terminate the account. Certain features — including venue offers relating to establishments that serve alcohol — may carry additional age restrictions, and nothing in the Services is an invitation to any person to purchase or consume alcohol unlawfully. The Services are designed for students and members of campus communities, and offer three account types: Student, Group (clubs and student organizations), and Business. These Terms apply to all three; Business accounts are additionally governed by Section 13. Certain features require verification of a campus email address (Section 4).
  2. Your Account You agree to provide accurate, current, and complete information when creating your account and to keep it up to date. You are responsible for all activity that occurs under your account and for keeping your login credentials confidential. Notify us immediately at areihill@moaisocial.com if you suspect unauthorized use of your account. You may not: create an account for anyone other than yourself; impersonate any person or entity; use a username that is offensive, misleading, or infringes anyone's rights; sell, transfer, or license your account; or maintain more than one account without our permission. We may refuse registration, reclaim usernames, or suspend or terminate accounts as described in Section 12.
  3. Changes to the Services and These Terms Moai is an early-stage service and will change. We may add, modify, or discontinue features at any time. We may also update these Terms. If we make material changes, we will notify you — for example, by in-app notice or email — and the updated Terms will apply from the effective date stated in the notice. Your continued use of the Services after that date constitutes acceptance of the updated Terms. If you do not agree to updated Terms, you must stop using the Services.
  4. Verified Identity — What It Means and What It Does Not Some features of the Services require verification of a campus email address (such as a .edu address). Verification confirms only that, at the time of verification, the user completed our email verification process for a recognized campus domain — or, for students without a school email address, our alternative review process (described in the Privacy Policy), which confirms only that our team reviewed the materials submitted. Group and Business accounts go live when created and are reviewed by our team afterward; a listing's presence on the Services does not mean its review is complete. Verification is not a safety measure and is not an endorsement. It does not confirm that a user is currently enrolled, does not verify a user's identity beyond the materials reviewed, and is not a background check, character reference, or guarantee of any user's conduct, honesty, or intentions. We cannot guarantee that every verified user is an actively enrolled student, that every Group or Business is what it claims to be, and we do not monitor changes in enrollment status.
  5. The Nature of the Services Moai is a platform that enables users to discover events, join communities, communicate with other users, and access offers from participating local businesses ("Venue Partners"). We are a venue for connection, not a party to it. We do not organize, host, supervise, or control user-created events; we do not vet, endorse, or guarantee any user, event, community, or Venue Partner; and we are not a party to any interaction, transaction, or arrangement between users or between users and Venue Partners. Moai Pass offers. Offers displayed in the Services are made, priced, and fulfilled by the Venue Partner, not by Moai. Offers are subject to availability, to any conditions stated in the offer, and to the Venue Partner's in-person requirements (including age verification where applicable). Moai does not guarantee that any offer will be available or honored, and any dispute about an offer is between you and the Venue Partner. Offers have no cash value, may be changed or withdrawn at any time, and are void where prohibited.
  6. In-Person Meetings and Events — Assumption of Risk PLEASE READ THIS SECTION CAREFULLY. The Services are designed to help people meet in real life. In-person interactions with people you meet through the Services carry inherent risks, including risks of personal injury, property damage, harassment, and criminal conduct, and events may involve additional risks arising from the activity, the location, or the conduct of other attendees. WE DO NOT CONDUCT CRIMINAL BACKGROUND CHECKS OR OTHER SCREENING OF USERS, EVENT HOSTS, OR ATTENDEES. We make no representations or warranties as to the conduct, identity, intentions, legitimacy, or safety of any user, event, or venue. YOU ASSUME ALL RISKS ASSOCIATED WITH USING THE SERVICES AND WITH ANY IN-PERSON INTERACTION, MEETING, OR EVENT ARISING FROM OR RELATED TO THE SERVICES. You agree to use your own best judgment and take reasonable precautions when meeting anyone through the Services — including meeting in public places, telling someone where you are going, and never sending money or sharing financial information with other users. To the fullest extent permitted by applicable law, you release Moai and the Moai Parties (defined in Section 16) from any and all claims, demands, damages, and liabilities of every kind, known or unknown, arising out of or in any way connected with any dispute or interaction with, or the acts or omissions of, other users, event hosts or attendees, or Venue Partners. If you become aware of dangerous or unlawful conduct, contact local law enforcement first, then report it to us through the in-app reporting tools or at areihill@moaisocial.com. In an emergency, always call 911.
  7. Your Content "User Content" means anything you post, upload, send, or otherwise make available through the Services — including profile information, photos, event listings, posts, comments, voice messages, and chat messages. You own your User Content. So that we can operate the Services, you grant Moai a non-exclusive, worldwide, royalty-free, sublicensable (to our service providers), transferable license to host, store, reproduce, modify (for technical purposes, such as formatting), display, distribute, and otherwise use your User Content in connection with operating, providing, promoting, and improving the Services. This license continues even if you stop using the Services, to the extent your content remains on our systems or has been shared with other users, but we will honor removal and visibility settings as described in the Privacy Policy. You represent and warrant that you own or have all rights necessary to post your User Content and grant this license, and that your User Content does not violate law or infringe or misappropriate any third party's rights, including intellectual property, privacy, and publicity rights. If your User Content includes other identifiable people — for example, in photos or recordings — you are responsible for having their permission. We have no obligation to store, maintain, or provide copies of User Content, and we may remove or restrict any User Content at any time as described in Section 11. If you send us feedback, ideas, or suggestions, we may use them without restriction or compensation to you.
  8. Anonymous Posting Is Not Anonymous to Moai Certain features allow you to post without your name or handle being displayed to other users. Anonymous posting hides your identity from other users only. Every post remains linked to your account on our systems. We may use that link for content moderation, enforcement of these Terms, safety investigations, and responses to valid legal process, and we may disclose your identity where required by law or as described in the Privacy Policy. Anonymity is not a shield for conduct that violates these Terms.
  9. Prohibited Conduct You agree not to, and not to attempt to or help anyone else to: Harm people. Harass, bully, stalk, threaten, intimidate, defame, or abuse anyone; post content that is hateful or that degrades or discriminates on the basis of race, ethnicity, national origin, religion, sex, gender identity, sexual orientation, disability, or age; publish or threaten to publish another person's private or identifying information without their consent (doxxing); solicit, share, or threaten to share intimate images of any person without consent; or engage in any conduct that is predatory or exploitative, particularly toward minors. Endanger safety. Organize, promote, or attend events for unlawful purposes; use the Services to facilitate underage drinking, hazing, or the sale of drugs or weapons; encourage self-harm; or post content depicting or promoting violence. Deceive. Impersonate any person or entity; misrepresent your affiliation with any person, organization, or institution; create fake events; manipulate offers or redemption codes; circumvent the age gate or verification systems; or engage in fraud of any kind. Misuse the platform. Use the Services for commercial purposes without our written agreement (Venue Partners act under Section 13; this does not restrict ordinary student activity such as promoting a club event or a campus fundraiser); send spam or unsolicited promotions; scrape, harvest, or collect data about other users, whether manually or by automated means; use bots, scripts, or automated methods to access the Services; probe, scan, or test the vulnerability of our systems; reverse engineer, decompile, or disassemble any part of the Services except as permitted by law; interfere with or disrupt the Services; or access the Services to build a competing product. Violate law or rights. Violate any applicable law or regulation, any policy of your educational institution that applies to you, or any third party's rights, including intellectual property and privacy rights. We may investigate any suspected violation and take any action we consider appropriate, including removing content, restricting features, suspending or terminating accounts, and reporting to law enforcement.
  10. Community Guidelines Our Community Guidelines, available at moaisocial.com/guidelines, form part of these Terms and provide additional detail on acceptable use. Where the Community Guidelines address specific conduct, they supplement — and do not limit — Section 9.
  11. Moderation, Reporting, and Enforcement We provide in-app tools to report content and users and to block other users. Blocking a user prevents them from appearing to you, and you to them, across the Services. We review reports and may, at our discretion, remove or restrict content, issue warnings, limit features, or suspend or terminate accounts. We may — but are not obligated to — monitor, screen, or moderate User Content, and we do not undertake any duty to do so. We aim to review reports promptly, but we do not guarantee any particular response time or outcome. Our decision not to act on any given report is not an endorsement of the reported content or conduct. If your content is removed or your account is restricted and you believe we made a mistake, you may appeal by contacting areihill@moaisocial.com.
  12. Suspension and Termination By you. You may stop using the Services at any time and may deactivate your account in the app (the option labeled "Delete Account" in Settings). What deactivation does — and does not do — with your data is described in the Privacy Policy. By us. We may suspend or terminate your access to all or part of the Services at any time, with or without notice, if we reasonably believe you have violated these Terms, if we are required to do so by law, if your conduct creates risk or possible legal exposure for us or other users, or if we discontinue the Services. Where appropriate, we will give you notice and an opportunity to address the issue, but we are not required to do so. Sections 6, 7 (license), 8, 13.5, and 14 through 22 survive any termination of these Terms or your account.
  13. Venue Partner Terms This Section 13 applies to businesses that enter into a partner listing subscription with Moai ("Venue Partners"). For Venue Partners, this Section applies in addition to the rest of these Terms, and the individual accepting on behalf of a business represents that they have authority to bind it. 13.1 The subscription. Venue Partners pay a monthly subscription fee — currently $89.99 per month unless otherwise agreed in a signed order form — for a partner listing on the Services, including a business profile, the ability to publish offers redeemable by users ("Offers"), and any analytics features we make available. Early access: during Moai's early access period, the subscription fee is waived and no payment is collected; we will give Venue Partners at least 30 days' written notice before billing begins, and no Venue Partner will be charged without first providing a payment method. Fees, once they apply, are billed outside the app, in advance, and are exclusive of taxes. Prices for future renewal periods may change with at least 30 days' notice. 13.2 Auto-renewal and cancellation. Subscriptions renew automatically each month until cancelled. Either party may cancel effective at the end of the then-current monthly period by giving notice before the renewal date (for Venue Partners, by written notice to areihill@moaisocial.com). Except where required by law, fees are non-refundable, and no refunds or credits are given for partial months. 13.3 Offers are the Venue Partner's obligation. The Venue Partner — not Moai — is solely responsible for each Offer it publishes, including its accuracy, availability, terms, fulfillment, and legality. Venue Partners must honor valid Offers as described, subject to any conditions clearly stated in the Offer. Moai may remove any Offer at any time. 13.4 Legal compliance is the Venue Partner's obligation. Venue Partners are solely responsible for compliance with all laws applicable to their business and their Offers, including, without limitation, Indiana alcoholic beverage law (Title 7.1 of the Indiana Code and its regulations), local licensing and permit requirements, food safety law, and consumer protection law. Without limiting the foregoing, Venue Partners are solely responsible for ensuring that any promotion involving alcoholic beverages complies with Indiana requirements governing drink pricing and promotions, and for all age verification at the point of service. Moai does not sell, serve, furnish, or provide alcohol, and nothing in the Services constitutes the sale or furnishing of alcohol by Moai. 13.5 Redemption data. The redemption interface shows Venue Partners whether a presented code is valid, already used, or invalid, together with a pseudonymous redemption code. Venue Partners are not provided the identity of redeeming users. Venue Partners agree not to attempt to identify or re-identify any user from any data made available through the Services, not to use redemption data for any purpose other than validating and reconciling redemptions, and not to disclose such data to third parties. 13.6 Venue content. Venue Partners grant Moai the same license to their content as set out in Section 7 and represent that their profiles and Offers are accurate and lawful, and that they hold all rights in the trademarks, photos, and other materials they provide. 13.7 Relationship. Venue Partners and Moai are independent contractors. Nothing in these Terms creates any agency, partnership, joint venture, franchise, or employment relationship. Moai is a marketing and listing platform and is not a party to any transaction between a Venue Partner and a user. 13.8 Suspension. In addition to our rights under Section 12, we may suspend a Venue Partner's listing immediately if the Venue Partner breaches this Section 13, publishes an unlawful Offer, or fails to pay fees when due.
  14. Intellectual Property; DMCA Our property. The Services — including all software, design, text, graphics, logos, and the Moai name and marks — are owned by Moai or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the app on an Apple-branded device that you own or control, for your personal, non-commercial use, in accordance with these Terms and the App Store Terms of Service. No rights are granted except as expressly set out in these Terms. Copyright complaints (DMCA). We respond to notices of alleged copyright infringement that comply with the Digital Millennium Copyright Act. If you believe content on the Services infringes your copyright, send a notice containing the information required by 17 U.S.C. § 512(c)(3) to our designated agent: DMCA Agent, Moai Social Inc, c/o Corporation Service Company, 251 Little Falls Drive, Wilmington, New Castle County, Delaware 19808 · areihill@moaisocial.com We will remove or disable access to material that is the subject of a valid notice, will make reasonable efforts to notify the user who posted it, and will accept counter-notices meeting the requirements of 17 U.S.C. § 512(g). We maintain a policy of terminating the accounts of repeat infringers in appropriate circumstances. Misrepresentations in a notice or counter-notice may give rise to liability under 17 U.S.C. § 512(f).
  15. Disclaimers THE SERVICES AND ALL CONTENT AND MATERIALS AVAILABLE THROUGH THEM ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, MOAI DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WITHOUT LIMITING THE FOREGOING, MOAI MAKES NO WARRANTY OR REPRESENTATION: THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR AVAILABLE AT ANY PARTICULAR TIME; ABOUT THE CONDUCT, IDENTITY, OR RELIABILITY OF ANY USER, EVENT, OR VENUE PARTNER; ABOUT THE ACCURACY, AVAILABILITY, OR FULFILLMENT OF ANY OFFER; OR ABOUT THE ACCURACY OR COMPLETENESS OF ANY CONTENT. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.
  16. Limitation of Liability TO THE FULLEST EXTENT PERMITTED BY LAW, MOAI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, ADVISORS, AND SERVICE PROVIDERS (THE "MOAI PARTIES") WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY, AND WHETHER OR NOT ANY MOAI PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF THE MOAI PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS ($100) AND (B) THE AMOUNTS YOU PAID TO MOAI FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. WITHOUT LIMITING THE FOREGOING, THE MOAI PARTIES WILL HAVE NO LIABILITY ARISING FROM THE CONDUCT — ONLINE OR OFFLINE — OF ANY USER, EVENT HOST, ATTENDEE, OR VENUE PARTNER, OR FROM ANY EVENT OR IN-PERSON INTERACTION ARISING FROM OR RELATED TO THE SERVICES. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OF LIABILITY FOR CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. THE LIMITATIONS IN THIS SECTION ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN YOU AND MOAI, AND APPLY EVEN IF A LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
  17. Indemnification To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless the Moai Parties from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your User Content; (b) your use of the Services; (c) your violation of these Terms or of any law or third-party right; (d) any event you create, host, or attend; and (e) for Venue Partners, your Offers, your business, and your compliance obligations under Section 13. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense.
  18. Dispute Resolution — Arbitration Agreement and Class Action Waiver PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES ARBITRATION OF DISPUTES ON AN INDIVIDUAL BASIS AND LIMITS THE MANNER IN WHICH YOU CAN SEEK RELIEF, UNLESS YOU OPT OUT. 18.1 Informal resolution first. Before filing an arbitration, you and Moai agree to try to resolve any dispute informally. The party raising the dispute must send the other a written notice describing the dispute and the relief sought (for notices to Moai: areihill@moaisocial.com, with "Notice of Dispute" in the subject line). The parties will negotiate in good faith for 60 days from receipt of the notice. Completing this process is a condition precedent to starting an arbitration, and any applicable statute of limitations is tolled during it. 18.2 Agreement to arbitrate. Except as provided in Section 18.3, you and Moai agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services, or the breach, termination, enforcement, interpretation, or validity thereof (each, a "Dispute"), will be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules (or, for Venue Partners, its Commercial Arbitration Rules) then in effect, as modified by this Section 18. The Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement. The arbitrator — and not any court — has exclusive authority to resolve any dispute about the interpretation, applicability, enforceability, or formation of this arbitration agreement, except that a court will decide the issues identified in Section 18.6. 18.3 Exceptions. Either party may: (a) bring an individual claim in small claims court if it qualifies; and (b) seek injunctive or other equitable relief in a court of competent jurisdiction to protect its intellectual property rights or to prevent unauthorized access to the Services. Reporting matters to law enforcement or government agencies is never restricted. 18.4 Procedure. The arbitration will be conducted by a single arbitrator. For claims of $25,000 or less, the arbitration will be conducted by document submission, by telephone, or by videoconference unless the arbitrator determines a hearing is necessary. Any in-person hearing will take place in St. Joseph County, Indiana, unless you and Moai agree otherwise or the arbitrator determines that location is unreasonably burdensome, in which case the arbitrator will select a reasonable alternative (including videoconference). Payment of filing, administration, and arbitrator fees will be governed by the AAA's rules; if your claim is for $10,000 or less and is not frivolous, Moai will pay the arbitrator's fees other than your initial filing fee. The arbitrator may award the same individual relief that a court could award, must apply applicable law, and will issue a reasoned written decision. Judgment on the award may be entered in any court of competent jurisdiction. 18.5 Class action and jury trial waiver. TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND MOAI EACH WAIVE THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION. Disputes will be arbitrated only on an individual basis, and the arbitrator may not consolidate more than one party's claims or preside over any form of class or representative proceeding. If this class action waiver is found unenforceable as to a particular Dispute, then that Dispute (and only that Dispute) must proceed in court, and the remainder of this Section 18 will continue to apply. 18.6 Coordinated filings (batch arbitration). If 25 or more demands for arbitration are filed against Moai raising similar claims and with the assistance or coordination of the same or coordinated counsel, the parties agree that: (a) the demands will be resolved in staged proceedings, beginning with a set of up to 10 bellwether arbitrations selected half by claimants' counsel and half by Moai; (b) while the bellwether arbitrations proceed, no other demand in the group may be filed, administered, or subject to arbitration fees, and any applicable statute of limitations is tolled for the deferred demands; (c) following the bellwether awards, the parties will engage in a global mediation of the remaining demands; and (d) if the remaining demands are not resolved at mediation, they will proceed in further stages of up to 50 arbitrations at a time. A court of competent jurisdiction — not an arbitrator — will decide any dispute about the interpretation or enforceability of this Section 18.6. If this Section 18.6 is found unenforceable, the remainder of Section 18 remains in effect. 18.7 Your right to opt out. You may opt out of this arbitration agreement (Sections 18.2 through 18.6) within 30 days after first accepting these Terms by emailing areihill@moaisocial.com from the email address associated with your account, with the subject line "Arbitration Opt-Out," stating your name, your account email, and that you opt out of arbitration. Opting out of arbitration does not affect any other provision of these Terms. If you opt out, Disputes will be resolved in court as provided in Section 19. 18.8 Severability and survival. Except as stated in Sections 18.5 and 18.6, if any part of this Section 18 is found unenforceable, the remaining parts remain in force. This Section 18 survives termination of these Terms and your account.
  19. Governing Law and Venue These Terms and any Dispute are governed by the laws of the State of Indiana and applicable U.S. federal law, without regard to conflict-of-laws principles, except that the Federal Arbitration Act governs Section 18. For any Dispute that is not subject to arbitration — including if you validly opt out under Section 18.7 — you and Moai consent to the exclusive jurisdiction and venue of the state and federal courts located in St. Joseph County, Indiana, and waive any objection to jurisdiction or venue in those courts. Nothing in these Terms deprives you of the protection of any consumer protection law of your state of residence that cannot be waived by contract.
  20. Apple-Specific Terms Because the app is distributed through Apple's App Store, the following apply to your use of the iOS app: (a) These Terms are between you and Moai only — not with Apple Inc. ("Apple") — and Moai, not Apple, is solely responsible for the app and its content. (b) Your license to the app is limited to use on Apple-branded devices that you own or control, as permitted by the Usage Rules in the App Store Terms of Service (except that the app may be accessed by other accounts associated with you via Family Sharing or volume purchasing, where applicable). (c) Apple has no obligation to furnish any maintenance or support services for the app. (d) In the event of any failure of the app to conform to an applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) paid for the app; to the maximum extent permitted by law, Apple has no other warranty obligation with respect to the app. (e) Apple is not responsible for addressing any claims by you or any third party relating to the app, including product liability claims, claims that the app fails to conform to legal or regulatory requirements, and claims under consumer protection or similar laws. (f) In the event of any third-party claim that the app or your possession and use of it infringes that third party's intellectual property rights, Moai — not Apple — is responsible for the investigation, defense, settlement, and discharge of such claim, to the extent required by these Terms. (g) You represent that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and that you are not on any U.S. Government list of prohibited or restricted parties. (h) Apple and its subsidiaries are third-party beneficiaries of these Terms with respect to the iOS app, and upon your acceptance, Apple has the right to enforce these Terms against you as a third-party beneficiary.
  21. No University Affiliation Moai is an independent company. Moai is not affiliated with, endorsed by, sponsored by, or connected to the University of Notre Dame, Holy Cross College, Saint Mary's College, or any other educational institution. References to any institution are for identification only. All university names and marks are the property of their respective owners. Views expressed by users do not represent the views of Moai or of any institution.
  22. General Entire agreement. These Terms (together with the Privacy Policy, the Community Guidelines, and any signed order form with a Venue Partner) are the entire agreement between you and Moai regarding the Services and supersede all prior agreements on that subject. In the event of a conflict between these Terms and a signed order form, the order form controls for that Venue Partner. Severability. If any provision of these Terms is held invalid or unenforceable, it will be enforced to the maximum extent permissible and the remaining provisions will remain in full force. No waiver. Our failure to enforce any provision is not a waiver of our right to do so later. No third-party beneficiaries. Except for Apple as described in Section 20 and the Moai Parties as described in Sections 16 and 17, these Terms do not confer any rights on any third party. Time limit on claims. To the extent permitted by applicable law, any claim arising out of or relating to the Services or these Terms must be brought within one (1) year after the claim accrues, or it is permanently barred. Assignment. You may not assign or transfer these Terms or your account. We may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets, or by operation of law. Force majeure. We are not liable for any delay or failure to perform resulting from causes beyond our reasonable control. Electronic communications. You consent to receive communications from us electronically, and you agree that all agreements, notices, and disclosures we provide electronically satisfy any legal requirement that they be in writing. Notices. Legal notices to Moai must be sent to areihill@moaisocial.com and to Moai Social Inc, c/o Corporation Service Company, 251 Little Falls Drive, Wilmington, New Castle County, Delaware 19808.
